These Terms of Service ("Terms") govern your access to and use of the website at omodigital.com and any content, products, or services we make available (collectively, the "Services") provided by OMO Digital LLC ("OMO Digital," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Use of the website
You may use our website for lawful purposes only. You agree not to misuse the Services — including by attempting to gain unauthorized access, interfering with normal operation, scraping or harvesting data without permission, introducing malware, or infringing others' rights. We may suspend or restrict access to anyone who violates these Terms.
2. Consulting & professional services
Our consulting, engineering, and related professional services are provided under a separate written agreement (such as a master services agreement and statement of work). If there is any conflict between these Terms and a signed services agreement with us, that agreement controls for the services it covers. Nothing on this website is an offer to provide services or a binding commitment on our part.
3. Products
Software products we offer (such as Eloquent) may be governed by their own license terms, end-user license agreements, or purchase terms presented at the time of download or purchase. Those product-specific terms apply to your use of that product and, where applicable, supplement or override these Terms for that product.
4. Intellectual property
The website and its content — including text, graphics, logos, and software — are owned by OMO Digital or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and view the website for your personal or internal business use. You may not copy, modify, distribute, or create derivative works from our content without our prior written permission. Ownership of work product created during a consulting engagement is governed by the applicable services agreement.
5. Third-party links & services
The Services may link to or integrate third-party websites and services that we do not control. We are not responsible for their content, policies, or practices, and your use of them is subject to their own terms.
6. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Any information on the website is provided for general informational purposes and is not professional advice.
7. Limitation of liability
To the maximum extent permitted by law, OMO Digital and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the website will not exceed one hundred U.S. dollars (USD $100). Liability under a signed services agreement is governed by that agreement.
8. Indemnification
You agree to indemnify and hold harmless OMO Digital from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms or applicable law.
9. Governing law
These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in King County, Washington will have exclusive jurisdiction over any dispute arising from these Terms or the Services, and you consent to their jurisdiction and venue.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
